What is a Freelancer Contract?

A Freelancer Contract is the engagement contract between a business (the client) and a self-employed freelancer providing services. Distinct from an employment contract because the freelancer is not an employee, and distinct from a consultancy agreement because the work is typically deliverable-based rather than advisory.

When do you need one?

Any business engaging a freelancer for design, development, copywriting, marketing, photography, translation or any other deliverable-based service needs a written contract. The Copyright, Designs and Patents Act 1988 leaves IP with the creator by default; payment disputes are common in freelance work; and IR35 status (for personal service company freelancers) depends partly on what the contract says.

What does it cover?

Scope and deliverables, fee structure (fixed, day-rate or milestone), payment terms (with reference to the Late Payment of Commercial Debts (Interest) Act 1998 for B2B), IP assignment on payment, IR35 factors (substitution, mutuality of obligation, control), revisions, kill fee, confidentiality and termination.
