What are Board Minutes?

Board Minutes are the formal written record of a meeting of a company's directors. They record who attended, what was decided, what was discussed in support of each decision, and what was actioned afterwards. Companies Act 2006 section 248 requires every company to keep minutes of all proceedings at board meetings.

When do you need them?

After every board meeting. The record must be kept for at least 10 years under section 248(3). Banks, investors, auditors and HMRC routinely request board minutes to evidence corporate authority for specific decisions (declaring dividends, approving service contracts, authorising borrowing, appointing officers).

What do they cover?

Date, time and location, attendees and quorum confirmation, declarations of interest under section 177 of the Companies Act 2006, agenda items with discussion summaries, formal resolutions with the casting vote position where used, signature of the chair, and the action list with named owners and deadlines.
