What is an End User Licence Agreement?

An End User Licence Agreement (EULA) is the contract between a software publisher and the person installing or using the software. It governs what the user is permitted to do with the software, what they are not permitted to do, and what protections the publisher retains over the underlying code and intellectual property.

When do you need one?

If you distribute software — a desktop app, mobile app, browser extension, installed SaaS client or downloadable tool — you need a EULA. Without one, the user's rights default to whatever the implied licence in copyright law provides, which is rarely the position either side intended. The publisher also has no contractual restraint over reverse engineering, redistribution or commercial use.

What does it cover?

Grant of licence (scope, duration, transferability), prohibited acts (reverse engineering, redistribution, modification), open-source component disclosure where applicable, warranty disclaimer to the extent permitted under the Consumer Rights Act 2015, limitation of liability, term and termination, and consumer cancellation rights under the Consumer Contracts Regulations 2013 for B2C distribution.
