Software Development Agreement for bespoke projects. Covers IP ownership, milestones, acceptance testing, source code delivery and warranties. From £4.99.
A Software Development Agreement is the contract between a customer and a software developer (or development house) for the design and build of bespoke software. Distinct from a SaaS subscription, which provides access to existing software; this contract creates new software for the customer.
For any commissioned software build — bespoke web applications, mobile apps, internal tools, integrations, or platform components. The Copyright, Designs and Patents Act 1988 leaves the code with the developer by default unless transferred, so the IP provisions are critical to ensure the customer ends up owning what they have paid for.
Scope and specification, development phases and milestones, acceptance criteria and testing, background versus foreground IP ownership (CDPA 1988 distinction), source code escrow or delivery, warranties and defect liability period, maintenance and support, and the standard commercial protections of payment, termination and limitation of liability.
