Service Agreement Template UK

Service agreement for England and Wales. Covers scope, fees, IP ownership, liability cap and termination. Tailored to your engagement. From £4.99.

What is a Service Agreement?

A Service Agreement is the contract under which one business supplies services to another. Broader than a freelancer contract or a consultancy agreement, it is the standard B2B services contract — applicable to agencies, contractors, professional service firms, maintenance providers, and any business whose primary deliverable is work performed rather than goods delivered.

When do you need one?

Whenever your business provides or procures services on a recurring or substantial basis. Without a written services contract the engagement defaults to what was agreed informally — typically inadequate for managing scope changes, IP ownership, service levels, payment disputes and termination.

What does it cover?

Scope of services and deliverables, fees and payment terms (with reference to the Late Payment of Commercial Debts (Interest) Act 1998 for B2B), service levels and performance standards, IP ownership of any work product, confidentiality, data protection obligations where personal data flows, warranties and limitation of liability, term and termination, and the standard commercial boilerplate.
